By using this site and/or downloading any material, you agree to be bound by this Agreement. This agreement applies to you and, if you are using this web site on your client`s behalf, to you and all your clients. We reserve the right to change this agreement at any time without further notice. We reserve the right to update and/or change our pricing structure as needed including but not limited to changes based on our community, imagery database or market trends. Your use of the site will be subject to the most current version posted on the site at the time of your use. By using this site or downloading, uploading or using any media listed under the Bescouted.com domain you agree to be bound by this Agreement. Should you disagree with anything stated here please discontinue your use of the site and erase all data you have downloaded. Where Bescouted.com has provided you with a translation of the English language version of the page or site`s functionalities, then you agree that the translation is provided for your convenience only and that the English language versions of the Terms will govern your relationship with Bescouted.com. If there is any contradiction between the English language version and its translation in a different language, then the English language version shall take precedence.

1. General Provisions

1.1. These rules (hereinafter – the “Rules”) shall establish the procedure for using the website Bescouted.com (hereinafter – “bescouted.com”) and the rights, obligations, and responsibilities of bescouted.com users as well as other provisions.

1.2. Carvertical.com is managed and administered by BSCTD UAB, LT-75138 J. Basanaviciaus 3, Silale, Lithuania (hereinafter – the “Provider”).

1.3. Bescouted.com users are provided with the opportunity to create an account, post and share their visual content, sell it to interested third parties, and to use other services provided on the Bescouted.com website in accordance with the procedure set out in these Rules. The user of Bescouted.com is a person who has created a personal or business account or who otherwise use Bescouted.com (hereinafter – the “User”). For the purposes of these Rules, the services (hereinafter – the “Services”) shall include all and any actions performed by the User on Bescouted.com, including, but not limited to, buying and selling visual content, reading published information, submitting, sending and receiving questions, any type of information and/or data (hereinafter – the “Services”). Some services available on Bescouted.com are provided to the User subject to a fee (hereinafter – “Paid Services”). The terms and conditions for the Paid Services are provided prior to ordering a Paid Service. Any reference to “Services” shall hereinafter refer to all Services, including Paid Services, and any reference to “Paid Services” shall only refer to those Services for which the User pay us a fee.

1.4. By using Bescouted.com, the User expresses his or her consent to these Rules and agrees to be bound by them in any way or form. Persons who do not agree with any of the terms and conditions set out in these Rules, have no right to use Bescouted.com.

1.5. The Provider has the right to unilaterally change the Services provided on Bescouted.com and their pricing as well as any provisions set out in these Rules. By continuing to use Bescouted.com following any modification, revision or supplementation of these Rules, the User expresses his or her consent to these changes.

2. Terms and Conditions for the Use of Services available on the Bescouted.com website

2.1. Bescouted.com provides its users with the opportunity to buy and sell visual content posted on the platform.

2.2. The User agrees and acknowledges that he/she has fully familiarized himself/herself with content, price and fees prior to ordering any given piece of content available for download. The User understands that the final (paid) content will only contain the information the existence availability of which was made known to him/her during the review stage of content on the platform.

2.3. The seller sets his own price for each separate piece of content he/she is willing to sell and is aware of fees deducted from his final earnings.

3. Paid Services

3.1. Services provided on the Bescouted.com website are to be paid for by a bank card. Paid Services may only provided to the User after the User pays for them in accordance with the procedure set out in the Bescouted.com website.

3.2. The users of Bescouted.com may order an unlimited ammount of contet for user specified prices. Each sell confirms that he holds all copyright rights and is eligible, holds all necessery permisions to distribute the content he is putting up for sale on the Bescouted.com.

3.3. The Provider shall have the right to limit or suspend the provision of Services for an indefinite period of time during the preventive maintenance process.

4. Consequences of Breaching the Rules

4.1. When ordering and selling visual contentt and continuing to use it, the User must adhere to these Rules. Depending on the nature of the breach, the Provider shall have the right to limit the User’s access to the Services available on Bescouted.com.

4.2. The Provider reserves the right to terminate, at any time and with no prior notice, the User’s access to Bescouted.com or his/her use of the services available on Bescouted.com as a result of breaching these Rules or statutory regulations. The User will be informed about any sanctions imposed for breaching these Rules via email specified during registration.

5. Limitation of Liability

5.1. The Provider shall only be responsible for the technical posting of visual content on Bescouted.com website if the visual content complies with all the requirements set out in the Rules, and for technical support of the database of this website.

5.2. The Provider shall not be responsible for the inaccuracy of the information, political views and personal beliefs expressed in pieces of visual content or any copyright breaches that he is not aware of. The Provider shall not be responsible for the damage incurred by the User or any third parties in connection with the use of the Report.

5.3. The Provider shall not be responsible for the malfunctions or interruptions of the functioning of Bescouted.com or its database that occurred for reasons beyond the Provider’s control.

5.4. The User shall be responsible for the appropriate use of the password. The Provider shall not be responsible for the damage incurred by the User as a result of the use of this information by third parties.

6. Personal Data Processing Rules Set Out in the Bescouted.com Privacy Policy

7. Intellectual Property Rights

7.1. Bescouted.com has never directed, and never will direct, its users to upload Media that infringe upon any right belonging to a third party. Uploading Media that infringe on third-party rights constitutes a direct and material violation of these express Terms and will subject the uploading Contributor`s account to suspension and/or termination, where appropriate.

7.2. Apart from identifying an obvious proprietary marking in an Media that indicates an exclusive owner, Bescouted.com has no other ability to determine whether the rights appurtenant to a particular Media may belong to a party other than the uploading Contributor. As its only other means of identifying Media that may infringe upon a third party`s rights, Bescouted.com relies entirely on properly presented notifications from third parties claiming that their rights have been violated.

7.3. Bescouted.com has no right or ability to control the activities of Contributors who create and upload Media to the Website. In the event that a Contributor infringes upon a third party`s rights by creating or uploading an Media, that Contributor is the sole responsible party for such infringement, and Bescouted.com has no control over such activity.

8. Applicable Law and Dispute Resolution

8.1. The activities of the Bescouted.com website are governed by the laws of Lithuania. All disputes arising out of or in connection with the activities of the Bescoutedl.com website shall be resolved by way of negotiation, and in the event of that failing, the dispute shall be referred to a competent court of Lithuania.

8.2. All disputes that arise between the Provider and entrepreneurs shall be resolved at the court of the place where the Provider is domiciled.

8.3. Non-corporate User should first submit his/her request and/or complaint regarding the activities or services of Bescouted.com to the Provider in writing by specifying his/her claims. Please send your letters to contact@bescouted.com. Legal disputes shall be resolved in the manner prescribed by the law.

9. Cookie Policy Set Out in the Bescouted.com Privacy Policy

10. Information Security Measures

10.1. In processing the User’s personal data, the Provider shall implement appropriate organisational and technical security measures which help protect personal data from accidental or unlawful destruction, loss, alteration, unauthorised disclosure or any other unlawful processing. The Provider’s activity aimed at ensuring security includes, among other things, the protection of staff, information, IT infrastructure, internal and public networks, office buildings and hardware.

10.2. The Provider would like to remind the User that the User himself/herself is responsible for ensuring the security of his/her log-in details. The Provider would like to ask the User to take special care when using and storing his/her log-in details. The User should log out from the browser at the end of the session to prevent any unauthorized access to the User’s email or personal information, especially in cases where the User uses public computers (e. g. at the internet café or library).

10.3. The Provider shall do everything within its power to protect the User’s data processed by the Provider but, taking into account the fact that the User’s information is sent over the internet, the Provider warns that the Provider may not and does not guarantee total security of the information sent by the User, including the User’s personal data.

11. Final Provisions

11.1. These Rules will become binding the moment the User acknowledges that he or she consents to these Rules and they shall remain in force throughout the entire period of the relationship between the User and the Provider.

11.2. The Provider shall have the right to unilaterally amend these Rules. Any amendments to these Rules will become binding from the moment they are published on Bescouted.com.

11.3. After any amendments to these Rules become binding, the User shall acknowledge that he/she is familiar with these amendments and fully consents to them by continuing to use Bescouted.com. The Services ordered prior to any amendments to the Rules of Bescouted.com shall be provided in the manner and in accordance with the time limits as set out in the Rules that were in effect at that time.
